01 Scope & Eligibility

These Terms apply exclusively to wholesale customers, including retailers, dealers, and authorized resellers. Retail or direct-to-consumer purchases are not covered. You represent that you are authorized to act on behalf of the business entity placing orders and that all information provided is accurate and current.

02 Account Registration & Security

Account registration may be required to access pricing, place orders, or use certain Services. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity conducted under your account, whether authorized or not. The Company reserves the right to suspend or terminate accounts for misuse, policy violations, or inaccurate or outdated information.

03 Orders, Purchases & Payment

All orders are subject to acceptance, availability, and verification. The Company reserves the right to refuse, cancel, or limit orders for any reason, including pricing errors, availability issues, or suspected misuse. Payment methods must be valid and authorized at the time of purchase. Payment terms, credit approvals, billing requirements, and credit limits are governed by separate account agreements or approvals and are subject to the Company’s discretion. 04 Pricing, Availability & Errors

Shipping terms are governed exclusively by the Company’s Shipping Policy. Returns, restocking, exchanges, and warranty matters are governed exclusively by the Company’s Returns & Warranty Policy. These policies are incorporated by reference and control in the event of any conflict.

06 Brand Ownership, Product Responsibility & End-User Relationships

The Company distributes products from multiple brands, some of which may be owned, licensed, or affiliated with Valor Communication, Inc. Warranty coverage, defect resolution, and product support are governed by the applicable Returns & Warranty Policy and any product-specific documentation provided with the goods. End-user claims or issues must first be addressed through the retail point of purchase. Wholesale customers are responsible for managing end-user interactions and escalating issues through appropriate wholesale support channels when applicable. Nothing in these Terms creates or expands product liability beyond what is required by applicable law.

You agree not to:

• Use the Services for unlawful or unauthorized purposes
• Misrepresent your business, identity, or affiliation
• Interfere with site functionality or system security
• Attempt to access restricted systems or data

Valor Communication, Inc. operates solely as a distributor and reseller of products manufactured by independent third parties ('Third-Party Products'). Valor makes no representations or warranties, express or implied, regarding the design, safety, workmanship, fitness for purpose, or regulatory compliance of any Third-Party Product, and expressly disclaims all implied warranties of merchantability and fitness for a particular purpose with respect thereto.

All warranty claims, defect claims, and product liability matters arising from Third-Party Products must be directed to the applicable manufacturer. Wholesale customers bear sole responsibility for managing end-user claims relating to Third-Party Products in accordance with the relevant manufacturer's warranty terms. By placing an order on this website, Customer acknowledges Valor's role as distributor only and agrees that all product-related claims arising from Third-Party Products are exclusively between Customer and the applicable manufacturer.

14 Force Majeure

The Company shall not be liable for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, labor disruptions, carrier failures, governmental actions, system outages, or acts of God.

You agree to indemnify and hold harmless the Company and its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from:

16 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of this website shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you hereby consent to the personal jurisdiction and venue of such courts.
